Ag Credit is a financial institution that provides financing for
agriculture, agribusiness and rural real estate purchases and
improvements. The institution is headquartered in Montgomery with
ten offices that service the lower 40 counties of Alabama. With
$1.5 billion in assets, the institution is a cooperative and part
of the nationwide Farm Credit System. Education and Experience
Requirements: Juris doctor degree from an accredited law school
with a license to practice law in the state of Alabama. 4 years of
law experience or equivalent. Desired Qualifications: Experience as
a practicing attorney. Extensive knowledge and understanding of
real estate transactions, lending and finance, consumer lending and
compliance, foreclosure, and/or contract law and the related
regulatory environment. Experience analyzing legal and regulatory
issues in these areas of practice and providing counsel on complex
legal matters. Strong attention to detail and accuracy. Excellent
verbal, written and interpersonal communication skills. Ability to
work effectively in a complex environment with a high degree of
collaboration. Role and responsibilities: The Senior Attorney will
work closely with and serve as legal advisor to the Executive Team
on transactional and compliance matters. Provide legal counsel
across the association, analyzing issues, advising on regulations,
and recommending actions that protect the associations legal
interests. Specific responsibilities include (i) providing
substantive legal advice on a variety of laws and regulations
relative to the Associations loan transactions, capital markets
products, loan workout documentation, acquired property sale
documents; (ii) working directly with senior officers of various
business functions and developing an in depth understanding of
business unit activities and products; (iii) identifying and
analyzing complex legal issues, developing conclusions and making
recommendations for issue resolution; (iv) drafting and negotiating
complex legal documents and supporting Association efforts to
achieve timely closings of transactions; (v) reviewing and
negotiating transaction documents prepared by outside counsel,
including contractual arrangements for financing transactions,
potential mergers or restructuring, and/or territorial changes;
(vi) engaging and managing outside counsel; (vii) assisting with
internal and external examinations and investigations as well as
bankruptcy and litigation proceedings; (viii) providing guidance to
other support partners (i.e., compliance, credit, operational
risk); and (ix) developing and implementing consistent application
of of Legal Department procedures to manage the Associations legal
matters, outside counsel and legal expenses. After a training
period, the Senior Attorney will oversee the Code of Ethics and
Standard of Conduct Program, including record keeping, compliance
monitoring, annual disclosures of directors and employees, and
required training. At the discretion of Alabama Ag Credit, position
may be offered at alternate titles and other business experience
